Garnish Group provides a comprehensive platform designed to connect private chefs with exclusive in-home opportunities and culinary experts with food, beverage, restaurant, and hospitality brands. Our mission is to elevate chef services, streamline workforce solutions, and make premium culinary expertise accessible to households, businesses, and brands.

PLEASE READ THIS TERMS OF USE AGREEMENT (“AGREEMENT”) CAREFULLY. THIS AGREEMENT IS A LEGAL CONTRACT BETWEEN YOU AND GARNISH GROUP, INC. (“GARNISH GROUP,” “WE,” “US,” OR “OUR”).

SECTION 13 OF THIS AGREEMENT IS AN ARBITRATION CLAUSE THAT REQUIRES MOST DISPUTES BETWEEN YOU AND GARNISH GROUP TO BE RESOLVED ON AN INDIVIDUAL BASIS THROUGH BINDING AND FINAL ARBITRATION, RATHER THAN IN COURT. SEE SECTION 13 FOR MORE INFORMATION REGARDING THIS ARBITRATION CLAUSE, INCLUDING HOW TO OPT OUT IF YOU DO NOT WISH TO BE BOUND BY IT.

By accessing or using garnishculinary.com, or any other website authorized to link to this Agreement (“Website”), registering an account, or accessing or using any content, services, features, or resources made available through the Website (collectively, the “Platform”), or taking any action to signify your acceptance of this Agreement, you:

  1. Agree to be bound by this Agreement and any future amendments or additions published through the Platform;

  2. Represent that you are of legal age in your jurisdiction to form a binding contract;

  3. Represent that you have the authority to enter into this Agreement personally or on behalf of any entity on whose behalf you use the Platform.

The term “you” refers to the individual or entity accessing the Platform, whether as a Platform User (household, business, or brand) or a Chef or Culinary Expert (individual providing services as defined below).

If you do not agree to be bound by this Agreement, you may not access or use the Platform.

Your use of the Platform is also subject to additional terms, conditions, and policies posted separately on the Platform. In the event of any conflict between this Agreement and any additional terms or policies, the additional terms will govern with respect to the subject matter of such additional terms.

1. How the Garnish Group Platform Works

1.1 Services Facilitated Through the Platform

The Garnish Group Platform facilitates connections between:

  1. Platform Users: Households, businesses, or brands seeking professional culinary services or expertise; and

  2. Chefs and Culinary Experts: Individuals offering services such as private chef experiences, meal preparation, catering, food styling, restaurant consulting, product demonstrations, brand activations, and other services as described herein.

1.2 Private Chef Services

Garnish Group enables Platform Users to book experienced chefs for in-home culinary experiences. These services may include:

  • Weekly or one-time meal preparation, tailored to specific dietary preferences;

  • Dinner parties and special occasions with table service; and

  • Ongoing culinary support for households or businesses.

Chefs typically handle menu planning, grocery shopping, preparation, and cleanup.

1.3 Brand Collaboration Services

The Platform also facilitates connections between Culinary Experts and businesses or brands in the food, beverage, restaurant, and hospitality industries. These services may include:

  • Product launches and demonstrations;

  • Brand activations and influencer events;

  • Restaurant menu development and operational consulting;

  • Food styling for media or marketing purposes; and

  • Sampling campaigns and in-store promotions.

1.4 Independent Contractor Status

Chefs and Culinary Experts are independent contractors, not employees, agents, or partners of Garnish Group. Garnish Group does not supervise, direct, or control the services provided by Chefs or Culinary Experts but may monitor interactions to ensure quality and compliance with this Agreement.

2. Use of the Platform

2.1 Limited License

Subject to this Agreement, Garnish Group grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for its intended purposes.

2.2 Restrictions on Use

You agree that you will not:

  1. License, sell, rent, lease, transfer, reproduce, distribute, or exploit the Platform for commercial purposes beyond its intended use;

  2. Use any automated tools (e.g., bots or scrapers) to access, collect, or manipulate data from the Platform;

  3. Circumvent the Platform to directly engage with any Platform User, Chef, or Culinary Expert introduced through Garnish Group;

  4. Modify, adapt, or reverse-engineer any part of the Platform;

  5. Remove or alter any proprietary notices on the Platform; or

  6. Interfere with the proper functioning of the Platform or use it for any unlawful purpose.

Unauthorized use of the Platform will result in immediate termination of access and may result in legal action.

3. Registration and Account Responsibilities

3.1 Account Creation

To access the Platform, you must create an account and provide accurate, current, and complete information. You are solely responsible for maintaining the confidentiality of your account login information and for all activities conducted through your account.

3.2 Prohibited Activities

You may not:

  1. Register using false information or on behalf of someone else without authorization;

  2. Maintain more than one account per individual or entity; or

  3. Use the Platform if you have previously been removed or banned.

4. Payment Terms

4.1 For Platform Users

Platform Users agree to pay all fees associated with services booked through the Platform, including service fees, grocery costs (where applicable), and applicable taxes. Payments are processed through Garnish Group, and tips may be added at the User’s discretion.

4.2 For Chefs and Culinary Experts

Chefs and Culinary Experts will receive payments for services rendered via Garnish Group, less applicable service fees, processing charges, and any other agreed-upon deductions.

4.3 Anti-Circumvention Clause

Both Platform Users and Chefs agree not to solicit or engage each other outside of Garnish Group for services initially facilitated through the Platform. In the event of circumvention, the offending party agrees to pay Garnish Group damages equivalent to the lost revenue.

5. Ownership of Intellectual Property

All intellectual property associated with the Platform, including content, trademarks, and proprietary technology, is owned by Garnish Group or its licensors. You may not copy, reproduce, or distribute any part of the Platform without prior written consent.

6. Indemnification

You agree to indemnify and hold harmless Garnish Group, its affiliates, officers, and employees from any claims, liabilities, damages, or expenses arising from your misuse of the Platform or breach of this Agreement.

7. Disclaimer of Warranties

The Platform is provided “as is” without warranties of any kind, express or implied. Garnish Group does not guarantee the accuracy, reliability, or availability of the Platform or the services facilitated through it.

8. Limitation of Liability

To the fullest extent permitted by law, Garnish Group is not liable for any indirect, incidental, or consequential damages arising from the use of the Platform or services.

9. Arbitration Agreement

All disputes between you and Garnish Group will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. This arbitration agreement waives your right to participate in class-action lawsuits.

10. Termination and Deactivation

Garnish Group reserves the right to suspend or terminate accounts for any reason, including violations of this Agreement.

11. Governing Law and Venue

This Agreement is governed by the laws of the State of (STATE of incorporation). Any disputes not subject to arbitration will be resolved in the courts located in (City, State)

12. General Provisions

12.1 Electronic Communications

You consent to receive electronic communications from Garnish Group.

12.2 Severability

If any provision of this Agreement is found invalid, the remaining provisions will remain in effect.

12.3 Force Majeure

Garnish Group is not liable for delays or failures caused by events beyond its reasonable control.
